1. Agreement
These terms are an agreement between RegenAuto (“Regen”, “we”, “us”) and the dealership or other business that uses our services (“Customer”, “you”), and they also apply to anyone who uses our website. If you accept these terms for a business, you confirm that you can bind it. If you and Regen sign an order form, the order form controls where it conflicts with these terms.
2. The service
Regen is a software platform for dealerships that includes a unified inbox, scheduling, campaigns, reporting, integrations, compliance tools and AI agents branded Regen Super Intelligence (the “Service”). The agents are agentic: within the settings, guardrails and approvals you configure, they can send messages, place and answer calls, book appointments, route conversations and update records on your behalf.
You choose which agents run, what they may do and when a person must approve or take over. You remain responsible for the business decisions made using the Service, including pricing, credit, financing and the terms of any sale.
3. Accounts and users
You are responsible for your users, for keeping login credentials secure and for everything done under your accounts. Tell us promptly at [email protected] if you suspect unauthorized access.
4. Your responsibilities, including messaging compliance
You are the sender of the messages and calls the Service makes to your customers and prospects, and you are responsible for complying with the laws and rules that apply to them. These may include the Telephone Consumer Protection Act, the CAN-SPAM Act, state telemarketing, mini-TCPA, quiet-hour and call-recording laws, the FTC Safeguards Rule, privacy laws, carrier requirements and the rules of your OEM and third-party providers. In particular, you agree to:
- obtain and keep any consent the law requires before contacting someone, and give us accurate consent information;
- honor opt-out requests and not override the Service's opt-out and consent controls without a lawful basis;
- provide accurate business, inventory, pricing and policy information for the agents to use;
- review and approve campaigns before they are sent; and
- use the Service only for lawful purposes.
Guardian and our other compliance features are designed to support compliance. They are not legal advice and do not guarantee that any message or call complies with the law. Consult your own counsel.
5. Acceptable use
You will not, and will not let anyone else:
- send spam, unlawful, deceptive, harassing or discriminatory content;
- contact people without any consent the law requires, or after they have opted out;
- use the Service to collect full Social Security numbers, full payment card numbers or similar sensitive data by text;
- attempt to bypass guardrails, rate limits, consent checks or security controls;
- reverse engineer, copy or resell the Service, or use it to build a competing product; or
- interfere with the Service or other customers' use of it.
6. AI features and estimates
Regen Super Intelligence uses artificial intelligence. AI output can be wrong, incomplete or out of date. Messages sent by agents disclose that they are AI-assisted where required, and customers can always ask for a person. You are responsible for the instructions, knowledge, examples and guardrails you give the agents and for reviewing their work using the tools we provide. The Service does not provide legal, financial, credit or tax advice.
Calculators, examples and product screens on our website are illustrative. Calculator results are estimates based on the inputs entered, not guarantees of results.
7. Messaging, voice and numbers
Text messaging and calling depend on telecommunications carriers and their rules, including 10DLC brand and campaign registration, which we handle at onboarding. Carriers may filter, delay or block messages, and we do not guarantee delivery. Phone numbers provisioned for you are subject to carrier and regulatory rules, and we will help you port them out if you leave, where the carrier allows.
8. Fees and payment
Fees, included allowances and overage rates are set out in your order form or on our pricing page at the time you subscribe. Unless your order form says otherwise, plans are billed monthly in advance per rooftop, overage is billed monthly in arrears, and fees exclude taxes, which you are responsible for. We may change prices with at least 30 days' notice, effective from your next billing period. Late amounts may result in suspension after notice.
9. Term, cancellation and suspension
Unless your order form says otherwise, your subscription is month to month and renews each month until cancelled. Either party may cancel effective at the end of the current billing month by giving notice before that month ends. We may suspend the Service immediately if needed to prevent harm, legal violations or carrier sanctions, and we will tell you why and work with you to restore it.
After cancellation, you may export your data for 30 days, after which we delete it from active systems in line with our retention practices, unless the law requires us to keep it.
10. Your data
You own the data you and your customers put into the Service (“Customer Data”). You give us permission to host, process, transmit and display Customer Data to provide, secure and support the Service, and as described in our privacy policy. We do not use Customer Data to train AI models shared with other customers. We may use aggregated, de-identified data that does not identify you or any person to operate and improve the Service.
11. Confidentiality
Each party will protect the other's confidential information with at least reasonable care and use it only to perform under these terms, except where disclosure is required by law.
12. Intellectual property
Regen owns the Service, the software, the Regen Top 1% Sales Playbook and all related intellectual property. You receive a limited, non-exclusive, non-transferable right to use the Service during your subscription. If you send us feedback, we may use it without obligation to you.
13. Third-party services
The Service connects to third-party products such as CRMs, DMSs, inventory, credit and calendar tools. Those products are governed by their own terms, and their availability and data access depend on their providers. Integration status labels on our website (“Available”, “Beta”, “On the roadmap”) describe our plans and are not commitments.
14. Warranties and disclaimers
We will provide the Service with reasonable skill and care, in line with its documentation. Except as stated in these terms, the Service is provided “as is”, and to the extent the law allows we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise any particular business result.
15. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits or revenue, and each party's total liability under these terms is limited to the fees you paid to Regen in the 12 months before the event giving rise to the claim. These limits do not apply to your payment obligations, your indemnity obligations or a party's gross negligence or wilful misconduct. [Carve-outs to be confirmed by counsel.]
16. Indemnification
You will defend and indemnify Regen against third-party claims arising from Customer Data, your instructions to the Service, or messages and calls sent at your direction in breach of applicable law or these terms. Regen will defend and indemnify you against third-party claims that the Service, as provided by us, infringes their intellectual property rights.
17. Governing law
These terms are governed by the laws of [State to be confirmed by counsel], without regard to its conflict-of-laws rules. [Venue and dispute-resolution terms to be confirmed by counsel.]
18. Changes and general terms
We may update these terms. For material changes we will give notice at least 30 days before they take effect, and the updated terms apply from your next billing period. These terms, together with any order form, are the entire agreement about their subject. If a provision is unenforceable, the rest remains in effect. Neither party may assign these terms without consent, except in a merger or sale of substantially all assets. Failure to enforce a provision is not a waiver.
